In view of the\nsituation emerging out of the outbreak of COVID-19, which requires adherence of\nsocial distancing norms, the stakeholders have pointed about various\ndifficulties MCA after considering this fact granted certain relaxation few of\nthem are briefed as under.<\/p>\n\n\n\n

Clarification on holding of annual general meeting (AGM) through video conferencing (VC) or other audio visual means (OAVM)<\/strong><\/p>\n\n\n\n

Relaxation introduced by SEBI<\/strong><\/p>\n\n\n\n

In view of the impact of the COVID-19 pandemic and the lockdown measures undertaken by Central and State Governments, based on representations, SEBI has decided to grant the following one time relaxations from strict enforcement of certain regulations of SEBI.<\/p>\n\n\n\n

Relaxations relating to procedural matters\nIssues and Listing<\/strong><\/p>\n\n\n\n

In view of the\nimpact of the COVID-19 pandemic SEBI has decided to grant the following one\ntime relaxations from strict enforcement of certain regulations of SEBI related\nto issue and listing as follows: https:\/\/www.sebi.gov.in\/legal\/circulars\/may-2020\/relaxations-relating-to-procedural-matters-issues-and-listing_46652.html<\/a><\/p>\n\n\n\n

Additional\nrelaxations due to COVID-19 pandemic<\/strong><\/p>\n\n\n\n

SEBI\nhas provided some additional relaxations due to Covid-19 pandemic which\nincludes:<\/p>\n\n\n\n

For\nthe AGM during the calendar year 2020:<\/p>\n\n\n\n

    \n
  1. No requirement of sending physical copies\nof the annual report to the stakeholders<\/li>\n\n\n\n
  2. No requirement of Proxy appointment for\nelectronic meetings<\/li>\n\n\n\n
  3. Subject to prescribed conditions, dividend\nwarrants\/cheques may be sent upon normalization of postal services.<\/li>\n\n\n\n
  4. Publication\nof newspaper advertisement- publications required under regulation 47 exempted\ntill June 30, 2020<\/li>\n<\/ol>\n\n\n\n

    Quarterly financial\nresults by banking\/insurance companies or other companies having subsidiaries\nwhich are banking\/insurance companies-may submit consolidated financial\nresults, on a voluntary basis till June 30, 2020. However, standalone results\nare to be provided in the usual manner and if only standalone financial results\nare being provided, reasons for the same are to be given.<\/p>\n\n\n\n

    Relaxations relating to procedural matters – Takeovers & Buy-back<\/strong><\/p>\n\n\n\n

    The relaxations\nprovided are as follows:<\/p>\n\n\n\n

    1. Subject to certain\nconditions, Service of the letter of offer and\/or tender form and other offer\nrelated material to shareholders may be undertaken by electronic transmission<\/li>\n\n\n\n
    2. Inspection of\nmaterial documents to be provided electronically<\/li>\n\n\n\n
    3. As far as possible,\nattempts will be made to adhere to the existing prescribed framework<\/li>\n<\/ol>\n\n\n\n

      Relaxation\nin eligibility criteria for listing on BSE SME platform<\/strong><\/p>\n\n\n\n

      Due to Covid-19 pandemic situation, BSE has relaxed\nthe criteria for the Companies for listing on the BSE SME platform as Net\ntangible asset revised from Rs. 3 Crore to Rs. 1.5 Crore and the Company should\nhave positive cash accruals in any of the years out of the last 3 years. There\nis no relaxation for the NBFC and Broking Companies for listing on BSE SME\nplatform.<\/p>\n\n\n\n
